1. About Huff Blueprint LLC

Huff Blueprint LLC ("Company," "we," "us," or "our") is a consulting and advisory firm headquartered in Leon, Iowa, operated by Shirah Huff. We provide fractional executive consulting, individual and group advisory services, personal performance programs, and planning products. Our services are designed for business owners, leaders, and individuals seeking operational clarity, financial visibility, and aligned action.

Nothing in these Terms constitutes the formation of an attorney-client, financial advisor-client, or therapist-client relationship. All services are consulting and advisory in nature.

2. Services Offered

Huff Blueprint LLC offers the following distinct service categories, each governed by these Terms unless a separate written agreement is executed:

Fractional COO/CFO Consulting

Ongoing or project-based operational and financial consulting for businesses. Engagements may be structured as hourly, retainer-based, or fixed-scope projects. Specific scope, deliverables, fees, and timelines will be outlined in a separate Statement of Work (SOW) or engagement letter prior to commencement.

Advisory Sessions

Paid 60-minute sessions providing directional guidance on specific business or operational challenges. Advisory sessions are not consulting engagements and do not include tangible deliverables, reports, or ongoing support unless separately agreed upon in writing. Sessions may be one-time or recurring.

The Kinetic Method™ Program

A 90-day self-paced individual performance program delivered digitally, with weekly live group calls. The program is designed to disrupt ineffective habits and build structured systems for productivity and aligned action. Enrollment constitutes acceptance of these Terms and the program's specific enrollment terms.

The Kinetic Planner™

A physical planning product sold as a one-time purchase. The Kinetic Planner™ is a wire-bound printed product and is not a digital subscription or recurring service.

Discovery & Introductory Calls

Free 30-minute calls offered to prospective clients to explore potential fit. These calls are complimentary and do not constitute a consulting engagement or create any ongoing obligation for either party.

3. Fees & Payment

Fees for each service are as published on huffblueprint.com or as outlined in a written engagement agreement. Huff Blueprint LLC reserves the right to update pricing at any time; pricing changes will not affect confirmed bookings or active engagements.

• Advisory Sessions: Payment is required at the time of booking. Sessions will not be confirmed until payment is received.
• Kinetic Method™ Program: Full program fee is due at enrollment. Payment plans, if offered, will be communicated at the time of enrollment.
• Kinetic Planner™: Payment is processed at the time of order. Orders are not confirmed until payment clears.
• Fractional Consulting: Payment terms will be specified in the applicable SOW or engagement letter. Invoices are due within 15 days of issuance unless otherwise agreed in writing.

Payments are processed via Stripe or Square. Huff Blueprint LLC does not store payment card information. Late payments on consulting invoices may be subject to a 1.5% monthly interest charge on the outstanding balance.

4. Cancellation & Refund Policy

Discovery Calls (Free)

Please cancel or reschedule at least 24 hours in advance. No-shows without notice may be required to prepay future bookings.

Advisory Sessions

Advisory sessions are non-refundable once booked. You may reschedule with at least 48 hours notice. Cancellations made within 48 hours of the scheduled session forfeit the session fee. One reschedule per booking is permitted. No-shows without notice forfeit the session fee and are not eligible for rescheduling.

Kinetic Method™ Program

Due to the digital and immediately accessible nature of the program, all sales are final upon enrollment. Refunds will not be issued after program access has been granted. If you experience a technical issue preventing access, contact us within 7 days of enrollment and we will work to resolve it.

Kinetic Planner™

Physical products may be returned within 14 days of receipt if unopened and in original condition. Buyer is responsible for return shipping costs. Opened or damaged planners are not eligible for return. Defective products will be replaced at no charge upon verification.

Fractional Consulting Engagements

Cancellation terms for consulting engagements will be specified in the applicable SOW or engagement letter. In the absence of a written agreement, either party may terminate an engagement with 14 days written notice. Fees for work already performed are non-refundable.

5. Intellectual Property

All content, frameworks, methodologies, materials, and tools provided by Huff Blueprint LLC — including but not limited to The Kinetic Method™, The Kinetic Planner™, templates, worksheets, presentations, and written content — are the proprietary intellectual property of Huff Blueprint LLC and Shirah Huff.

Clients are granted a limited, non-exclusive, non-transferable license to use materials provided solely for their own personal or internal business use. You may not reproduce, resell, redistribute, publicly display, or create derivative works from any Huff Blueprint LLC materials without prior written consent.

6. Confidentiality

Huff Blueprint LLC treats all client information as confidential. Information shared during consulting engagements, advisory sessions, or program participation will not be disclosed to third parties without your consent, except as required by law.

Clients engaging in fractional consulting engagements may be asked to sign a mutual Non-Disclosure Agreement (NDA) prior to engagement commencement, particularly where access to sensitive business, financial, or personnel information is involved.

7. Testimonials & Case Studies

Huff Blueprint LLC may request permission to use client feedback, outcomes, or general engagement details as testimonials or anonymized case studies for marketing purposes. Such use will only occur with your explicit written consent. You may withdraw consent at any time by notifying us in writing.

8. Disclaimer of Warranties

All services, programs, and products are provided "as is." Huff Blueprint LLC makes no guarantees regarding specific business outcomes, revenue results, productivity improvements, or personal performance results. Individual results will vary based on factors outside our control, including client implementation, market conditions, and personal circumstances.

Nothing provided by Huff Blueprint LLC constitutes legal, financial, tax, psychological, or medical advice. Clients are encouraged to consult licensed professionals for advice in those domains.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Huff Blueprint LLC and Shirah Huff shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of our services, programs, or products — including but not limited to loss of revenue, loss of data, or business interruption — even if advised of the possibility of such damages.

Our total liability to any client for any claim arising out of or relating to our services shall not exceed the total fees paid by that client in the 90 days preceding the claim.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Iowa. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Decatur County, Iowa.

11. Dispute Resolution

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation is unsuccessful within 30 days, disputes will be submitted to binding arbitration in accordance with the rules of the American Arbitration Association before any litigation is pursued.
